Terms of Service
These Terms of Service (hereinafter referred to as the "Terms") establish the sales conditions of our products and define the rights and obligations between our company and our users. Before purchasing our products, please read these Terms in their entirety and agree to them.
Article 1: Application
- These Terms aim to establish the conditions for providing our products and define the rights and obligations between users and our company regarding product sales, and shall apply to all relationships between users and our company related to product sales.
- Rules regarding product sales posted on our website (https://jp.cuzenmatcha.com/) (hereinafter referred to as the "Website") shall constitute part of these Terms.
- In the event of any inconsistency between the contents of these Terms and the rules or other product descriptions outside these Terms, the provisions of these Terms shall prevail.
Article 2: Definitions
The following terms used in these Terms shall have the meanings defined below:
- "Product Sales Contract" means the sales contract for our products concluded between our company and users under these Terms.
- "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including rights to obtain these rights or apply for registration).
- "Posted Data" means content (including but not limited to text, images, videos, and other data) posted or otherwise transmitted by users through the Website.
- "Company" means World Matcha, Inc.
- "Website" means the website operated by our company with the domain "https://jp.cuzenmatcha.com/" (including any website after changes to our company's website domain or content for any reason).
- "User" means an individual or legal entity using the Website.
- "Products" means "matcha machines," "matcha leaf," and "CUZEN MATCHA starter kit" provided by our company under the brand name "Cuzen Matcha" (including any products after changes to the product name or content for any reason).
Article 3: Orders
- By placing an order through the Website, you are applying to purchase the products you have selected in accordance with these Terms.
- The products offered on our Website are limited to available inventory. We reserve the discretion to refuse or cancel orders from users regardless of whether the order has been confirmed, whether payment has been made, and for any reason. If we cancel an order after payment has been made pursuant to this paragraph, we will refund the full amount paid but shall not bear any other responsibility (including but not limited to liability for damages) related to such refusal or cancellation.
- After order confirmation on our Website, no changes or cancellations can be made for any reason attributable to the user.
Article 4: Fees and Payment Methods
- Users shall pay our company the usage fees determined separately by our company and displayed on the Website as consideration for our products, using the payment method specified by our company.
- If a user delays payment of usage fees, the user shall pay our company a late payment fee at an annual rate of 14.6%.
Article 5: Delivery
- A flat shipping fee of 360 yen (tax included) will be charged per delivery address nationwide. However, if the total order amount for a single delivery address exceeds 3,300 yen, we will cover the shipping cost.
- [Matcha Machines & Matcha Leaf] Orders placed by 12:00 noon on weekdays and Saturdays (excluding Sundays and holidays) will typically be shipped on the same day; otherwise, they will be shipped on the next business day. [Other Products] Items will be shipped within 3 business days after order confirmation. [Subscription Orders] For the second delivery onwards, items will be delivered according to your specified cycle (monthly / every 2 months). We do not process shipments on Sundays, holidays, year-end/New Year holidays, Golden Week, and other extended holiday periods.
- Delivery is limited to within Japan. For international shipments, depending on the destination, you may be able to use cuzenmatcha.com (US), so please check there. Also, please note that delivery may take longer due to natural disasters, traffic conditions, courier circumstances, and other reasons.
Article 6: Returns
- Product exchanges or returns for reasons attributable to the user are not accepted under any circumstances.
- If a user notifies our company that a product is defective pursuant to Article 15 of these Terms, and our company determines at its discretion that the product is defective, the user may return the product, and our company shall replace it. However, such notification must be made within two weeks after the product reaches the user, and our company shall not accept any return requests from users after two weeks have elapsed under any circumstances.
Article 7: Prohibited Actions
When purchasing our products, users must not engage in actions that fall under any of the following items or that our company determines fall under any of the following items:
- Actions that violate laws or are related to criminal activities
- Fraudulent or threatening actions against our company, other users of the Website, or any third parties
- Actions contrary to public order and morals
- Actions that infringe on intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of our company, other users of the Website, or any third parties
- Sending information through the Website that falls under or is determined by our company to fall under the following:
- Information containing excessively violent or cruel expressions
- Information containing computer viruses or other harmful computer programs
- Information containing expressions that damage the honor or credibility of our company, other users of the Website, or any third parties
- Information containing excessively obscene expressions
- Information containing expressions that promote discrimination
- Information containing expressions that promote suicide or self-harm
- Information containing expressions that promote inappropriate use of drugs
- Information containing antisocial expressions
- Information requesting the spread of information to third parties, such as chain mail
- Information containing expressions that cause discomfort to others
- Actions that place excessive load on the Website's network or system
- Reverse engineering or other analytical actions against software or other systems provided by our company
- Actions that may interfere with the operation of the Website
- Unauthorized access to our company's network or system
- Actions impersonating third parties
- Actions using the ID or password of other users of the Website
- Advertising, publicity, solicitation, or business activities on the Website without prior permission from our company
- Collection of information about other users of the Website
- Actions that cause disadvantage, damage, or discomfort to our company, other users of the Website, or any third parties
- Providing benefits to antisocial forces
- Actions aimed at meeting persons of the opposite sex with whom the user has no prior acquaintance
- Actions that directly or indirectly cause or facilitate any of the preceding actions
- Attempting any of the preceding actions
- Other actions deemed inappropriate by our company
Article 8: Suspension of the Website
Our company may suspend or interrupt all or part of the Website and the sale of products through the Website without prior notice to users in any of the following cases:
- When emergency inspection or maintenance of computer systems related to the Website is required
- When the operation of the Website or the sale of products becomes impossible due to computer or communication line failures, operational errors, excessive concentration of access, unauthorized access, hacking, etc.
- When the operation of the Website and the sale of products becomes impossible due to earthquakes, lightning, fire, flood damage, power outages, natural disasters, or other force majeure events
- Other cases where our company determines that suspension or interruption is necessary
Article 9: Rights Attribution
- All intellectual property rights related to the Website and our products belong to our company or those who have licensed our company, and the sale of products based on these Terms does not imply the licensing of intellectual property rights related to the Website or our products belonging to our company or those who have licensed our company.
- Users represent and warrant to our company that they have lawful rights to post or otherwise transmit the posted data and that the posted data does not infringe on the rights of third parties.
- Users grant our company a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, create derivative works, display, and perform the posted data. Users also grant other users a non-exclusive license to use, reproduce, distribute, create derivative works, display, and perform the posted data that users have posted or otherwise transmitted using the Website.
- Users agree not to exercise moral rights of authors against our company and those who have succeeded to or been licensed rights from our company.
Article 10: Changes and Termination of Website Content
- Our company may change the content of the Website or terminate its provision at our convenience.
- If our company terminates the provision of the Website, our company shall notify users in advance.
Article 11: Disclaimer and Exemption
- Our company makes no express or implied warranty that the Website and our products are suitable for users' specific purposes, have expected functions, commercial value, accuracy, usefulness, comply with laws or industry group internal rules applicable to users, can be used continuously, or will not have any defects.
- Our company shall not be liable for compensation exceeding the amount paid by users to our company as consideration for the products regarding damages suffered by users in relation to the sale of products, and shall not be liable for compensation for incidental damages, indirect damages, special damages, future damages, and lost profit damages.
- Transactions, communications, disputes, etc., arising between users and other users or third parties in connection with the purchase of our products or the Website shall be resolved by users at their own responsibility.
Article 12: Confidentiality
Users shall keep confidential non-public information disclosed by our company to users in connection with the use of the Website and the purchase of our products that our company has requested to be treated as confidential, except with prior written consent from our company.
Article 13: Handling of User Information
- Our company's handling of users' information shall be governed by our privacy policy separately established, and users shall agree to our company's handling of users' information in accordance with this privacy policy.
- Our company may use and disclose information and data provided by users to our company as statistical information in a form that cannot identify individuals, at our company's discretion, and users shall not object to this.
Article 14: Changes to These Terms
Our company may change these Terms if deemed necessary by our company. When changing these Terms, we will announce or notify users of the effective time and content of the changed Terms by posting on the Website or other appropriate methods. However, if the change requires user consent under the law, our company shall obtain user consent by the method prescribed by our company.
Article 15: Contact/Notification
- Inquiries about the Website and our products and other contacts or notifications from users to our company, and notifications regarding changes to these Terms and other contacts or notifications from our company to users shall be made by the method prescribed by our company.
- If our company makes contact or notification to the email address or other contact information included in the registration information, users shall be deemed to have received such contact or notification.
Article 16: Transfer of Position in the Product Sales Contract
- Users may not transfer, move, set security, or otherwise dispose of their position in the usage contract or rights or obligations under these Terms to third parties without prior written consent from our company.
- If our company transfers its business related to product sales to another company, our company may transfer its position in the usage contract, rights and obligations under these Terms, and user registration information and other customer information to the transferee of such business transfer, and users shall be deemed to have given their consent to such transfer in this paragraph. The business transfer defined in this paragraph shall include not only ordinary business transfers but also company splits and all other cases where business is transferred.
Article 17: Severability
Even if any provision of these Terms or part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and the remaining parts of provisions determined to be partially invalid or unenforceable shall continue to have full effect.
Article 18: Governing Law and Jurisdiction
- The governing law of these Terms and the Product Sales Contract shall be Japanese law.
- The Tokyo District Court shall have exclusive jurisdiction in the first instance over all disputes arising from or related to these Terms or the Product Sales Contract.
